These Affiliate Program Terms and Conditions (the “Affiliate Terms”) form an agreement between Eclipse s.r.l., with its registered office at via San Napoli 196, Benevento, Italy, VAT no. IT01658470628 (“Smootify”, “we”, “us”), and the person or entity that joins the Smootify Affiliate Program (the “Affiliate”, “you”).
By joining the Program, or by sharing or using an Affiliate Code, you accept these Affiliate Terms. If you accept them on behalf of a company, you confirm that you are authorised to bind it. These Affiliate Terms add to the Smootify Terms of Service and the Privacy Policy, which also apply to you as a Smootify user. Where they conflict on the Program, these Affiliate Terms prevail.
1. Definitions
- Program: the Smootify Affiliate Program described in these Affiliate Terms.
- Affiliate Area: the affiliate section of your Smootify dashboard. It shows your Affiliate Code, your Commission Rate and Customer Discount, your Referred Customers, your accrued Commissions and your payouts.
- Affiliate Code: the personal code you get when you join, which you can replace with a code of your choice (4 to 16 letters and digits, not containing Smootify, Shopify or Webflow) until a store has paid for a plan with it.
- Customer Discount: the discount a Referred Customer receives on their Smootify subscription by using your Affiliate Code, as shown in your Affiliate Area.
- Referred Customer: a person or company that subscribes to a paid Smootify plan using your Affiliate Code, in line with Section 4.
- Qualifying Subscription: a paid Smootify plan (Lite or Server, monthly or annual) bought by a Referred Customer with your Affiliate Code, for one Webflow project, while it stays active and paid.
- Net Revenue: the amount Smootify actually receives for a Qualifying Subscription in a billing period, after the Customer Discount and excluding VAT and other taxes, the revenue share and fees retained by Shopify, refunds, credits, chargebacks and amounts not collected.
- Commission: the amount owed to you for a Qualifying Subscription, calculated under Section 5.
- Commission Rate: the percentage of Net Revenue paid as Commission, as stated in your Affiliate Area.
2. Joining the Program
2.1 Who can join. You can join if you are at least 18 years old and you have a Smootify account with at least one paid project.
2.2 Joining. You join from the Affiliate Area of your Smootify dashboard by accepting these Affiliate Terms, once at least one of your projects has a paid plan. Your Affiliate Code, your Commission Rate and the Customer Discount appear in the Affiliate Area as soon as you join.
2.3 One membership. Each person or company may hold one affiliate membership. You may not join through other people or create more than one account to obtain more Affiliate Codes.
2.4 Your details. You keep your contact, tax and payout details in the Affiliate Area accurate and up to date. We are not responsible for payments delayed or lost because of wrong or outdated details.
3. Your Affiliate Code
3.1 Use. You may share your Affiliate Code with your clients and your audience, in line with Section 7. The Referred Customer enters it when subscribing to a paid Smootify plan.
3.2 The Customer Discount. It applies to the Qualifying Subscription for its first 12 months. It cannot be combined with other Smootify discounts or promotions unless we say otherwise in writing.
3.3 Code changes. We may replace your Affiliate Code, for example if it is misused or published where Section 7 does not allow it. We tell you in advance unless the change is urgent. Referred Customers you already brought stay attributed to you.
4. Attribution of Referred Customers
4.1 How a customer is attributed. A customer is attributed to you only if your Affiliate Code is applied to their Smootify subscription when they buy a paid plan. Recommending Smootify without the code being used does not create an attribution.
4.2 Excluded customers. A customer is not attributed to you, and earns you no Commission, if: (a) they had a paid Smootify subscription for the same Webflow project in the 90 days before using your code; (b) they are you, a company you control, or a project you build for yourself (self-referral); (c) the code was obtained or applied in breach of these Affiliate Terms.
4.3 One affiliate per subscription. Each Qualifying Subscription is attributed to one Affiliate only: the one whose Affiliate Code was applied. If a customer used more than one code, the first code applied counts.
4.4 Agencies and client stores. If you are an agency or freelancer, you may apply your Affiliate Code to the subscriptions of your clients’ projects. They are Referred Customers, also when you manage their billing.
4.5 Our records decide. Attribution is based on our systems and Shopify’s billing records. If you believe a customer was not attributed correctly, write to us within 60 days of the subscription date; after that, our records are final.
5. Commissions
5.1 Amount. For each Qualifying Subscription you earn the Commission Rate applied to the Net Revenue we receive for it. Your Commission Rate is the one in your Affiliate Area, as updated under Section 5.5. It depends on your membership type, individual or agency (a membership held by a company), also shown in your Affiliate Area.
5.2 Duration. You earn a Commission for every billing period in which the Qualifying Subscription is active and paid, during the first 12 months from its first payment, subject to Sections 11 and 12. If the Referred Customer cancels and later subscribes again for the same project, the new subscription stays attributed to you if it starts within 90 days of the cancellation.
5.3 Plan changes. If the Referred Customer upgrades, downgrades or switches between monthly and annual billing, the Commission follows the Net Revenue of the new plan. For annual plans, the Commission is calculated on the annual Net Revenue when it is received.
5.4 When a Commission is earned. A Commission is earned only after: (a) Smootify has received the Net Revenue for that billing period, including through Shopify’s payouts; and (b) a hold period of 30 days has passed, to cover refunds and chargebacks. If an amount is refunded, credited or charged back, the related Commission is cancelled. If it was already paid, we deduct it from your next Commissions.
5.5 Rate changes. We may change the Commission Rate or the Customer Discount for new Referred Customers with 30 days’ notice by email or in the Affiliate Area. A change never reduces Commissions already earned. For existing Qualifying Subscriptions the rate in force when the subscription started keeps applying, unless the change is in your favour.
5.6 No other compensation. The Commission is the only compensation for your activity under the Program. You bear your own costs, including advertising, tools and content production.
6. Payouts
6.1 Threshold and timing. We pay your earned Commissions monthly, once your unpaid balance reaches USD 100. We make the payment by the end of the month following the month in which the balance reaches the threshold. A balance below the threshold carries over to the following months.
6.2 Methods and currency. We pay by bank transfer, PayPal or Wise, to the account you set in the Affiliate Area, in US dollars. Fees charged by your bank or payment provider, and currency conversion costs, are yours.
6.3 Invoices and taxes. You are responsible for your own taxes and social contributions on the Commissions. Where your country’s rules require it, for example if you hold a VAT number, you must issue us an invoice for the earned Commissions before we pay them. We may ask for tax documents (for example a VAT number, a tax residency certificate or a W-8/W-9 form) and withhold payment until we receive them, or withhold taxes where the law requires it.
6.4 Unclaimed balances. If you have not set valid payout details within 12 months of earning a Commission, we remind you by email; if they are still missing 3 months after the reminder, the balance lapses.
6.5 Statements. The Affiliate Area shows your accrued and paid Commissions. If you disagree with a statement, write to us within 60 days of it; after that, it is considered accepted.
7. How you may promote Smootify
7.1 Allowed. You may promote Smootify through your own website, blog, newsletter, social media, videos, courses, talks and direct recommendations to your clients, as long as what you say is accurate and up to date.
7.2 Disclosure. You must say clearly that you earn a commission, wherever you share your Affiliate Code or recommend Smootify as an affiliate, as required by the rules that apply to you (including the EU Unfair Commercial Practices Directive and the US FTC Endorsement Guides).
7.3 Not allowed. You must not: (a) bid on “Smootify”, “Smootify app” or other Smootify brand terms, or their misspellings, in search or social advertising, or use them in ad copy or display URLs; (b) register or use domain names, social handles or app names that contain “Smootify” or could be confused with it; (c) present yourself as Smootify, as part of Eclipse s.r.l., or as an official partner, unless you hold that status (for example as a listed Smootify Expert, within its own terms); (d) make false, misleading or unverified claims about Smootify, its features, its prices or its results, or about competitors; (e) publish your Affiliate Code on coupon, voucher, deal or cashback sites, or offer customers rewards, cashback or part of your Commission to use it, without our written consent; (f) send unsolicited messages (spam) by email, messaging apps or social networks, or contact people without the consent the law requires; (g) use cookie stuffing, forced clicks, bots, fake accounts, fake reviews or any other method that creates attributions artificially; (h) promote Smootify on sites or channels with illegal, hateful, violent, sexually explicit or otherwise offensive content; (i) use Smootify’s name or materials in a way that harms the reputation of Smootify, Webflow or Shopify.
7.4 Compliance. You comply with all laws that apply to your promotion, including advertising, consumer protection, data protection and anti-spam laws, and with the terms of the platforms you use.
8. Brand and materials
8.1 Licence. While you are in the Program, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Smootify name, logo and the materials we provide, only to promote Smootify under these Affiliate Terms and in line with any brand guidelines we share.
8.2 Limits. You may not alter our logos, or use them as part of your own brand. All rights in Smootify’s brand, materials, software and content remain with Eclipse s.r.l. The licence ends automatically when your participation ends.
9. Relationship of the parties
You act as an independent contractor. Nothing in these Affiliate Terms creates an employment, agency, partnership, franchise or joint venture relationship. You have no authority to make offers, accept orders or enter into contracts on behalf of Smootify, and you must not suggest otherwise.
10. Personal data and confidentiality
10.1 Data. Each party processes personal data as an independent controller and in line with applicable data protection law, including the GDPR. In the Affiliate Area we show you only the information needed to follow your referrals, such as the project or store name, the plan and the Commission. You use it only for the Program and do not share it with third parties. How we process your data is described in our Privacy Policy.
10.2 Confidentiality. Your Commission Rate, the terms shown in your Affiliate Area and any non-public information we share about Smootify are confidential. You do not disclose them without our consent, except to your professional advisers or where the law requires it.
11. Duration, suspension and termination
11.1 Duration. These Affiliate Terms apply from the day you join the Program until your participation ends.
11.2 Termination by you. You may leave the Program at any time by writing to info@eclipse.srl or from the Affiliate Area.
11.3 Termination by us. We may end your participation: (a) at any time and for any reason, with 30 days’ notice by email; or (b) immediately, by email, if you breach these Affiliate Terms, act fraudulently or in a way that damages Smootify’s reputation, or if your account is closed under the Smootify Terms of Service.
11.4 Suspension. While we investigate a suspected breach or fraud, we may suspend your Affiliate Code and the payment of Commissions for up to 60 days.
11.5 What happens to Commissions.
- If you leave the Program, or we end it under 11.3(a): we pay the Commissions already earned, even below the threshold, and Commissions on your existing Qualifying Subscriptions continue until the end of their 12 months under Section 5.2.
- If we end your participation under 11.3(b): unpaid Commissions linked to the breach or fraud are forfeited. We may recover Commissions already paid for attributions obtained in breach of these Affiliate Terms.
11.6 What survives. Sections 5.4 (refunds and chargebacks), 6, 10, 11.5, 13, 14 and 16 survive the end of your participation.
12. Changes to the Program and to these Affiliate Terms
We may change these Affiliate Terms or the Program, or close the Program, with at least 30 days’ notice by email or in the Affiliate Area. Changes never affect Commissions already earned. If you continue in the Program after a change takes effect, you accept it; if you do not, you can leave under Section 11.2. If we close the Program, Section 11.5 applies as for a termination under 11.3(a).
13. Liability
13.1 The Program and the Affiliate Area are provided “as is”. We do not guarantee any level of referrals or earnings, or that tracking will be uninterrupted or error-free.
13.2 To the extent permitted by law, we are not liable for indirect or consequential losses, lost profits or lost opportunities. Our total liability under these Affiliate Terms is limited to the Commissions paid or owed to you in the 12 months before the event giving rise to the claim. Nothing limits liability for wilful misconduct or gross negligence, or any liability that cannot be limited by law.
14. Indemnity
You will hold Eclipse s.r.l. harmless from claims, losses and costs (including reasonable legal fees) arising from your breach of these Affiliate Terms, your content or promotion, or your violation of law or of third-party rights.
15. Assignment
You may not assign or transfer your participation, your Affiliate Code or your Commissions without our written consent. We may assign these Affiliate Terms as part of a merger, acquisition or transfer of the Smootify business.
16. Governing law and disputes
These Affiliate Terms are governed by Italian law. The parties will first try to settle any dispute informally for at least 30 days from written notice. Failing that, the courts of Benevento, Italy, have exclusive jurisdiction. Affiliates act as professionals: consumer protection rules on jurisdiction do not apply to the Program.
17. General
If a provision is found invalid, the rest remains in force. Our failure to enforce a provision is not a waiver. These Affiliate Terms, the terms shown in your Affiliate Area and the documents they refer to are the whole agreement on the Program. The English version prevails over any translation.
